We help entrepreneurs form new businesses. We work with the founders to select the appropriate legal structure for the business, apportion equity among the founders and other principals, and establish equity incentive plans and other compensation arrangements. Once the business is formed, we are involved in setting up intellectual property protection programs and negotiating essential development, license and distribution agreements.
We typically act as general counsel for many of our clients and provide day-to-day counseling on all legal agreements and general corporate matters.
For many of our early stage clients, we are not only legal counselors, but also valued business advisors. We review, critique and revise business plans, assess financing needs, assist with introductions to angel and venture capital investors, help locate key management candidates, and advise on the vital strategies that new businesses need to succeed.
Our services include:
- Choosing and organizing business entities (“C” or “S” corporations, limited liability companies or partnerships).
- Establishing and maintaining corporate governance through organizational documents (articles of incorporation, bylaws, operating agreements) and agreements among the owners (stockholders, voting and buy-sell agreements).
- Board of directors and stockholders meetings and approvals.
- Preparing, reviewing and negotiating lease, distribution, licensing, franchise, marketing, supply, management, distribution, outsourcing, e-commerce and other general corporate agreements.
